Terms of Service

1. Acceptance of Terms

By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy and Cookie Policy, which are incorporated by reference. If you do not agree, do not access or use the Site.

2. Eligibility

You must be at least 18 years oldand have the legal capacity to enter into a binding contract to use the Site. By using the Site, you represent and warrant that you meet these requirements. If you are using the Site on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, and “you” refers to both you and the organization.

3. Permitted Use

The Site is provided for your personal and business informational use regarding 360VUES’s services as a Matterport Service Partner. Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and view the Site.

You agree not to:

1. Access the Site by automated means (bots, scrapers, spiders, crawlers) other than well-behaved search-engine indexers that honor our robots.txt;
2. Reverse engineer, decompile, or attempt to extract the source code of the Site or its underlying software, except to the extent such restriction is prohibited by law;
3. Use the Site or any content from the Site to develop a competing service, product, or dataset;
4. Resell, sublicense, or redistribute any portion of the Site;
5. Interfere with, disrupt, or place an unreasonable load on the Site’s infrastructure;
6. Attempt to gain unauthorized access to any portion of the Site, accounts, or systems;
7. Use the Site to transmit malware, spam, or unlawful content;
8. Misrepresent your identity or affiliation with any person or entity; or
9. Use the Site in any manner that violates applicable law or these Terms.

4. Intellectual Property

All content on the Site — including text, graphics, logos, icons, images, page layouts, source code, software, and the 360VUES name and marks — is owned by 360VUES or its licensors and is protected by copyright, trademark, and other intellectual-property laws. Except for the limited license granted in Section 3, no rights are granted to you by implication or otherwise. You may not copy, modify, publish, or create derivative works from Site content without our prior written permission.

5. User Submissions

5.1 What You Submit

The Site offers contact forms, inquiry forms, a “Download Playbook” form, and a “Book a Call” scheduling flow (“Submissions”). Submissions typically include information such as your name, email address, company, and phone number, together with any message you choose to send.

5.2 How We Use Submissions

We use Submissions to respond to your inquiry, deliver requested materials, schedule meetings, and — where permitted — follow up with relevant business communications. Our handling of personal data is described in the Privacy Policy.

5.3 Your Representations

You represent that the information you submit is accurate, that you have the right to submit it, and that your Submission does not infringe any third-party rights or violate any law.

5.4 License

You grant 360VUES a worldwide, royalty-free, non-exclusive license to use, reproduce, and process your Submission for the purposes described in Section 5.2 and in the Privacy Policy.

6. Third-Party Content and Embeds

The Site may include demonstrations that iframe-embed Matterport Showcase tours and may link to third-party websites. Such third-party content is provided for convenience. Your use of embedded Matterport content is additionally governed by Matterport’s own terms of service and privacy policy, and your use of any linked third-party website is governed by that site’s terms. 360VUES does not control and is not responsible for third-party content, services, or practices.

7. Disclaimers

THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. To the maximum extent permitted by law, 360VUES disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade.

360VUES does not warrant that the Site will be uninterrupted, secure, or error-free; that defects will be corrected; or that the Site or the servers that make it available are free of viruses or other harmful components. Pricing, service descriptions, availability, and other information on the Site may change without notice and are not offers or binding commitments unless confirmed in a signed agreement.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL 360VUES OR ITS OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

360VUES’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). Some jurisdictions do not allow certain limitations of liability, so portions of this section may not apply to you.

9. Indemnification

You agree to defend, indemnify, and hold harmless 360VUES and its officers, employees, and affiliates from and against any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Site; (b) your Submissions; (c) your violation of these Terms; or (d) your violation of any law or third-party right.

10. Modifications to the Site and Terms

We may modify, suspend, or discontinue the Site (or any part of it) at any time without notice. We may also update these Terms from time to time; the “Effective Date” above indicates when the Terms were last revised. Your continued use of the Site after changes take effect constitutes acceptance of the updated Terms. For material changes, we will use reasonable efforts to provide notice (e.g., via a notice on the Site).

11. Termination

We may suspend or terminate your access to the Site at any time, for any reason, without notice. Sections that by their nature should survive termination (including Sections 4, 7, 8, 9, 12, and 13) will survive.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Site will be resolved first by good-faith informal discussion, then by non-binding mediation, and then by binding arbitration administered by JAMS under its Streamlined Arbitration Rules, seated in [Los Angeles, California], before a single arbitrator. Either party may bring an individual claim in small-claims court within its jurisdictional limits, and either party may seek injunctive relief in court to protect intellectual-property rights. You and 360VUES agree that any dispute will be brought only in an individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

13. Miscellaneous

• Entire Agreement. These Terms, together with the Privacy Policy and Cookie Policy, are the entire agreement between you and 360VUES regarding the Site.
• Severability. If any provision is held unenforceable, the remainder remains in effect.
• No Waiver. Our failure to enforce any provision is not a waiver.
• Assignment. You may not assign these Terms. 360VUES may assign without restriction.
• No Agency. Nothing in these Terms creates a partnership, agency, or employment relationship.
